SmartKode is a software development and digital services agency offering web development, mobile app development, UI/UX design, and technical consulting. These Terms of Service govern all engagements between SmartKode and its clients.

• SmartKode provides custom software services agreed upon in a project proposal or Statement of Work (SOW). The specific deliverables, timeline, and pricing for each engagement are defined in that document.
• We reserve the right to decline or discontinue any project at our discretion, with reasonable notice and a prorated refund for any undelivered prepaid work.
• Any changes to scope after a project has commenced require a written change request and may affect the timeline and cost.

• You agree to provide accurate and complete information required to deliver your project, including timely feedback, access to relevant systems, and clear communication of requirements.
• Delays caused by the client — including slow feedback cycles, changing requirements, or missing content — may result in revised timelines and additional costs.
• You are responsible for ensuring you have the rights to any third-party content, assets, or materials you provide to SmartKode for use in your project.

• Project fees are outlined in the agreed proposal or SOW. Unless otherwise stated, projects require a deposit before work commences.
• Invoices are due within 14 days of issuance. Late payments may incur a late fee and may result in work being paused until the outstanding balance is settled.
• All fees are non-refundable for work already completed and delivered, unless otherwise agreed in writing.

• Upon receipt of full payment, SmartKode transfers all intellectual property rights to the custom-built deliverables to the client.
• SmartKode retains the right to use open-source libraries, frameworks, and tools in building your project. These remain governed by their respective licences.
• SmartKode retains the right to display completed work in our portfolio unless explicitly requested otherwise in writing prior to project commencement.

Both parties agree to keep each other's confidential business information, technical details, and project specifics private. This obligation persists for 2 years after the end of an engagement. If required, a separate Non-Disclosure Agreement (NDA) can be arranged.

• SmartKode warrants that services will be delivered with reasonable skill and care, in line with industry standards.
• We do not guarantee that software will be entirely error-free or that it will meet every specific requirement not documented in the agreed scope.
• To the maximum extent permitted by law, SmartKode's liability is limited to the total fees paid for the relevant project. We are not liable for indirect, incidental, or consequential damages.

Some projects may involve integration with or recommendation of third-party services (e.g. hosting providers, payment gateways, analytics platforms). SmartKode is not responsible for the performance, uptime, or policies of third-party services.

Either party may terminate an engagement with 14 days written notice. The client is responsible for payment of all work completed up to the termination date. SmartKode will deliver all completed work and assets at that point.

These Terms are governed by and construed in accordance with applicable law. Any disputes will be resolved through good-faith negotiation in the first instance, and thereafter through appropriate (legal) channels.

SmartKode may update these Terms of Service from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised terms. We will always display the date of the last update at the top of this page.
